Two Step Software Delivers Complete Stock Plan Visibility With The New Capitalization Dashboard

Stock plan administrators, private equity investors, CFOs, lawyers and their clients now have a snapshot of their ownership information from a single screen

November 28, 2005, Waltham, MA—Two Step Software, Inc., the leader in corporate governance, ownership and minute book management solutions, announces the release of the new browser-based Capitalization Dashboard in Corporate Focus™ for viewing private equity ownership. The new Capitalization Dashboard provides a comprehensive snapshot of the total ownership picture. From the Dashboard screen, users can choose to view the information in capitalization tables, pie charts, and reports or drill through to more detailed lists of stock and option information and related documents.

"The growing challenge for law firms and legal departments has been to provide a comprehensive view of highly complex stock and option information in a format that’s easy-to-use and located on a single screen," comments Gary D. Levine, President and Founder of Two Step Software. "The Corporate Focus Capitalization Dashboard provides a complete capitalization snapshot that makes self-service easier than sending an email or leaving a voice mail."

The Capitalization Dashboard (pictured) brings together ownership information from six different screens and presents it in one convenient location. The one page snapshot provides an overview of cap table data sorted by stock plan type and by stockholder name. Users can then drill down to more detailed ledger screens and sort and filter by types, by investor, or based on common equivalents. They can also generate reports and export information to Excel. In addition to ownership information, with Corporate Focus, all of the related entity and minute book information and documents are all consolidated in one place.

Two Step has seen a growing trend at its law firm customers where they are now providing clients with browser-based access to their own data via secure websites. An increasing number of law firms are setting up client extranets and providing self-service portals for key clients that are demanding access to their own corporate records, documents, and filings. "With its user-friendly interface, intuitive navigation, and one-click reporting, the new Capitalization Dashboard provides another way to improve information sharing and collaboration between lawyers and their clients," comments Levine. "With the increased level of competition for clients in the private equity area, law firms are looking for new ways to improve operating efficiencies and provide clients with higher levels of legal service."

"Clients would call me looking for instant answers to a percent ownership question, a copy of a specific stock ledger report, or an option report for their reconciliations," said Kathryn Lee, formerly a paralegal at DLA Piper Rudnick Gray Cary and now with Gunderson Dettmer. "With Corporate Focus, I was able to create reports or capitalization tables instantly and send the requestor an email with the information they needed quickly and easily." The Capitalization Dashboard takes that type of capability in Corporate Focus one step further.
